Engagement of Service

The parties shall select a mutually acceptable arbitrator knowledgeable about issues relating to the subject matter of this Agreement. If the parties are unable to agree upon such selection, each party will select an arbitrator and those two arbitrators will then select a third. Judgment upon the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
5.2 — Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to this Agreement shall be instituted exclusively in the federal or state courts located in King County, Washington.
Section 06
Waiver & Severability
No waiver by the Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

You agree to indemnify, defend, and hold harmless Pepperwool Inc and its affiliates, directors, officers, employees, agents, suppliers, and licensors from and against any liabilities, losses, damages, or costs, including reasonable attorneys' fees, incurred in connection with or arising from any third-party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your Content, your use of the Website and Services, or any willful misconduct on your part.

Limitation of Liability
To the fullest extent permitted by applicable law, in no event will the Company, its affiliates, directors, officers, employees, agents, suppliers, or licensors be liable to any person for any indirect, incidental, special, punitive, cover, or consequential damages (including, without limitation, damages for lost profits, revenue, sales, goodwill, use of content, impact on business, business interruption, loss of anticipated savings, or loss of business opportunity) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence, or otherwise, even if the liable party has been advised as to the possibility of such damages or could have foreseen such damages.
